1. About the Services

SweepTalk provides AI-powered voice agents designed for businesses in India, including hotels, gyms, clinics, restaurants, salons, and transport operators. The agents answer and place real phone calls in multiple languages and are configured and monitored from an operator console. The specific features available to you depend on your subscription plan or the deployment set up for your business.

2. Eligibility and Account

You must be at least 18 years old and legally capable of entering into a binding contract to use the Services. Where you use the Services on behalf of a business, you represent that you have the authority to bind that business to these Terms. You are responsible for maintaining the confidentiality of your account credentials and for all activity that takes place under your account.

3. Demo Calls

When you submit your phone number through the demo request form, you are asking us to place an automated voice call to that number. By submitting it, you confirm that the number belongs to you or that you are authorised to receive calls on it, and you request and consent to that single call from SweepTalk. Because the call is one you have asked us to make, it is not an unsolicited commercial communication; we will not use your number for promotional calling on the basis of this request alone.

Do not submit a number that is not yours. Demo requests are rate limited per number, per network, and overall, and we may decline or block requests that appear abusive. The demo call is recorded and transcribed, as described in our Privacy Policy.

4. Acceptable Use

When using the Services, you agree that you will not:

• Use the Services for any unlawful, fraudulent, misleading, or harmful purpose.
• Send spam, unsolicited promotional messages, or communications in violation of the Telecom Commercial Communications Customer Preference Regulations (TCCCPR), the rules on unsolicited commercial communication, or the WhatsApp Business Policy.
• Use the Services to place calls to people who have not consented to receive them, or to numbers registered on a Do Not Disturb list where consent is required. Where you use SweepTalk to contact your own customers, obtaining and maintaining that consent is your responsibility.
• Impersonate any person or entity, or misrepresent your affiliation with a business.
• Interfere with, disrupt, or attempt to gain unauthorised access to the Services, our infrastructure, or the data of other users.
• Reverse-engineer, decompile, or scrape the Services, except to the extent expressly permitted by law.
• Use the Services to collect or process personal data of individuals without a lawful basis, or without the notices and consents required by applicable law.

5. Fees, Payments, and Refunds

Certain features of the Services are provided on a paid basis. Fees, billing cycles, and the scope of your subscription are set out in your order form, invoice, or the pricing in effect at the time of purchase. All fees are payable in Indian Rupees (INR) unless otherwise agreed and are exclusive of applicable taxes, which you are responsible for paying.

Except where required by applicable law, fees paid are non-refundable once the corresponding billing cycle has begun. Where a refund is agreed in writing by SweepCode, it will be processed within a reasonable period through the original payment method. We may suspend or terminate the Services if payment is overdue.

6. Intellectual Property

The Services, including all associated software, models, designs, brand assets, and content, are owned by SweepCode or its licensors and are protected by intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for their intended purpose.

Any content, data, or feedback you submit to the Services (“Customer Content”) remains yours. By submitting Customer Content, you grant SweepCode a worldwide, royalty-free licence to host, process, and use that content solely to provide, secure, and improve the Services in accordance with our Privacy Policy.

7. Third-Party Services

The Services rely on and interoperate with third-party platforms, including Meta Platforms (for advertising, the WhatsApp Business API, and related tools), Google (for advertising and measurement), telephony providers, AI model providers, cloud infrastructure providers, and payment processors. Your use of those third-party services is subject to their own terms and policies. SweepCode is not responsible for the availability, performance, or actions of any third-party service.

8. Disclaimers

The Services are provided on an “as is” and “as available” basis. While we make reasonable efforts to keep the Services accurate, reliable, and secure, we do not warrant that the Services will be uninterrupted or error-free, or that an AI voice agent’s responses will always be accurate or suitable for your specific circumstances. You are responsible for reviewing the Services’ output before relying on it in any business, financial, medical, legal, or safety-critical context.

9. Limitation of Liability

To the maximum extent permitted by applicable law, SweepCode and its affiliates, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or in connection with your use of the Services. Our aggregate liability for any claim relating to the Services will not exceed the fees you paid to us in the twelve (12) months preceding the event giving rise to the claim, or INR 10,000, whichever is greater.

10. Indemnity

You agree to indemnify and hold SweepCode and its affiliates harmless from and against any claims, damages, liabilities, and reasonable legal costs arising out of (a) your use of the Services in violation of these Terms or applicable law, (b) Customer Content you submit, or (c) your infringement of any third-party right.

11. Suspension and Termination

We may suspend or terminate your access to the Services if you breach these Terms, if we are required to do so by law, or if we reasonably believe your use poses a risk to the Services or to other users. You may stop using the Services at any time. Termination does not relieve you of the obligation to pay any fees accrued prior to termination.

12. Changes to the Services and Terms

We may modify or discontinue the Services, or update these Terms, from time to time. When we make material changes, we will update the “Last updated” date and, where appropriate, notify you through the website or by email. Your continued use of the Services after the effective date of the updated Terms constitutes your acceptance of them.

13. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of India. Any dispute arising out of or in connection with these Terms or the Services will be subject to the exclusive jurisdiction of the competent courts located in Lucknow, Uttar Pradesh, India.
